    Content: This paper studies the behavior and performance of government venture capital (GVC) through the market cycles. I construct the first comprehensive database of government involvement in venture capital (VC) in China from 1999 to 2018. With over USD 1 trillion raised and an explosive growth rate of 25% annually, China has become the second-largest venture market globally. GVC is an essential feature of the Chinese VC market, accounting for 40% of the deals and 50% of raised funds. Compared with private venture capital (PVC), GVCs invest more in local, manufacturing, and early-stage deals. Also, GVCs underperform PVCs by 30%. Next, across venture market cycles, GVC behavior is less cyclical than their private counterparts: GVCs tend to raise more money and invest more during downturns. More interestingly, the performance of GVC is also less cyclical: the performance gap between GVC and PVC is reduced by 60% during downturns. A likely channel for this improved performance is governments' "deep pockets" because the results are driven by fiscally healthy cities. This improvement is not explained by a change in VC quality and other unobservable government assistance during downturns. Overall, I believe a government's policy orientations and its ability to deploy capital locally during challenging times are crucial to understanding GVC’s role in the capital markets and the broader economy

    Content: We study how macroeconomic, firm-level and higher-order uncertainty affects real corporate investment in firms with different levels of active and passive block ownership. Our ownership data are extracted from statutory SEC filings that block-holders are required to file indicating their active or passive status. Our main results are as follows. First, investment is more sensitive, to firm-level compared to macroeconomic and higher-order uncertainty shocks. Second, one standard deviation change in all types of uncertainty shocks has a higher negative effect on investment rate for firms held by active block-holders than for those held by passive block holders. Higher-order uncertainty has the most negative impact followed by macro-economic and firm-level uncertainty. Third, using a Bartik-style instrument for firm-level uncertainty we find that our main results still hold. Taken together, these results imply that the stated intentions of block-holders in statutory filings have an impact on how firm investment reacts to future economic uncertainty. Our results have implications for the current debate about the effects of ownership concentration in publicly listed firms

    Content: This paper discusses the purpose and practice of the mandatory bid rule in takeovers in the UK. A literature review looks at the impact of the mandatory bid rule in a takeover on both bidders and target companies. The origin and evolution of the mandatory bid rule in China are described and cumulative abnormal returns (CAR) used to measure its impact on bidders and target companies. The results show that shareholders of target companies receive a better return when bidders acquire more than 50% of the shareholding in target companies. This suggests that China should reform its mandatory bid rule by restricting the use of proportional partial bids to increase returns to the target shareholders. The results also show that in making a proportional partial bid to takeover a company, bidders receive a better return when they aim for corporate restructuring that adheres to the state-led industrial policy. The authors recommend that the law should strike a balance between following the state-led policy of corporate restructuring and protecting the interests of target companies
