Die Arbeit widmet sich den bislang wenig beachteten spezifischen Problemlagen, die sich aus der Kombination der Rechtsinstitute Bedingung und Zustimmung ergeben. Nach einer einleitenden und vergleichenden Darstellung von Bedingung und Zustimmung wendet sich der Autor der Abgrenzung von bedingter und sachlich beschränkter Zustimmung zu, die anhand des Inhalts des zustimmungsbedürftigen Rechtsgeschäfts erfolgt. Sodann werden interne Regelungskonkurrenzen des Zustimmungsrechts sowie externe Regelungskonkurrenzen zwischen Bedingungs- und Zustimmungsrecht aufgelöst, wobei ein Schwerpunkt auf der Frage liegt, wie eine vor Abschluss des zustimmungsbedürftigen Rechtsgeschäfts erteilte Zustimmung, deren Bedingung erst nachträglich eintritt, zu qualifizieren ist. Die Arbeit schließt mit einer umfassenden Behandlung der aufschiebenden sowie auflösenden Bedingbarkeit insbesondere von Genehmigungen und geht entgegen der h.M. von einer aufschiebenden Bedingbarkeit aus. Hinsichtlich der auflösenden Bedingbarkeit erfolgt eine differenzierende Handhabung. / »The Conditional Approval« -- The legal concepts of Condition (§§ 158 ff. BGB) and Approval (§§ 182 ff. BGB) in German law have been subjected to profound scientific discussion. However, their combination to a conditional Approval, that is Approval given under a condition, has rarely been studied. The purpose of this publication is to close this gap by dealing comprehensively with the specific problems arising from the hybrid character of the Conditional Approval.
