Der Autor untersucht, ob und unter welchen Voraussetzungen die übertragende Auflösung der AG, der GmbH und der KG zulässig ist. Ein besonderes Augenmerk liegt auf der GmbH und der KG, für welche die übertragende Auflösung bisher kaum vertiefend behandelt wurde
