Die Aufweichung des Kapitalschutzrechts mit dem MoMiG zeigt sich vor allem bei den Finanzierungsmaßnahmen eines Leveraged-Buy-out (LBO). Bei Bestehen eines Unternehmensvertrags ist mit § 71a AktG selbst die LBO-Vorschrift schlechthin suspendiert. Existenzgefährdende Weisungen sind zulässig. Nichts anderes gilt für die Stellung von Sicherheiten gegenüber der die Übernahme finanzierenden Bank. -- Auch im Kapitalmarktrecht schuf das Risikobegrenzungsgesetz nur geringfügig mehr Anlegerschutz. Ein reiner, abgestimmter Parallelerwerb wird von den Zurechnungsvorschriften des WpHG und des WpÜG weiterhin nicht erfasst. Die Einzelfallausnahme des § 22 Abs. 2 Satz 1 WpHG und § 30 Abs. 2 Satz 1 WpÜG ist materiell zu verstehen. § 22 Abs. 2 WpHG ist insoweit richtlinienkonform auszulegen. § 30 Abs. 2 WpÜG verstößt gegen die Übernahmerichtlinie. Das Schutzniveau im angelsächsischen Recht ist höher.
