Die Verletzung der Buchführungs- und Rechnungslegungspflicht kann weitreichende Folgen für alle Stakeholder einer AG haben. Vor dem Hintergrund der unionsrechtlichen Harmonisierung der Rechnungslegung wird die ungeklärte Rechtsfrage nach der zivilrechtlichen Außenhaftung der verantwortlichen Vorstandsmitglieder gegenüber geschädigten Dritten beleuchtet. Im Vordergrund steht dabei die Untersuchung des die Buchführung in die Verantwortung der Vorstandsmitglieder stellenden § 91 Abs. 1 AktG und dessen Schutzgesetzqualität im Sinne des § 823 Abs. 2 BGB. Angesichts der stetig wachsenden Bedeutung der Informationsfunktion des Jahresabschlusses zugunsten aktueller und potenzieller Aktionäre und Gläubiger, die auf Basis der vermittelten Informationen Investitionsentscheidungen treffen, veranlasst das Werk zu einem Überdenken der herkömmlichen Sichtweise von der Buchführung mit dem vorrangigen Zweck der Selbstinformation des Unternehmens mit lediglich reflexartig wirkendem Schutz gegenüber Dritten
