ResumenEl acuerdo de cooperación o asociación entre empresas (en adelante AC); constituye untipo de organización que se sitúa entre dos extremos: el gobierno de las transaccionesefectuadas por medio del mercado y las realizadas internamente a la empresa por medio deuna vía jerárquica. Para algunos, este tipo de asociaciones constituye un comportamientocolusorio que disminuye la intensidad de competencia y, por lo tanto, amenaza el logro deuna mayor eficiencia. Sin embargo, dado que, más allá de la necesaria comunión deobjetivos para su concreción subsiste la oposición de intereses, se los concibe como unanueva forma de competencia.El primer intento para fundamentar teóricamente este fenómeno se basó en el uso delos instrumentos conceptuales de la teoría de los costos de transacción, la que ofreceun herramental analítico para la discusión de las ventajas en términos de costos, delas distintas formas de organización de las transacciones. En este marco, la convenienciasobre el uso de una determinada estructura de gobierno en lugar de otra, depende de lascaracterísticas propias de la transacción: la frecuencia con que éstas ocurren, elmonto de las inversiones específicas que requieren, los fallos de mercado asociados aellas.En la Encuesta sobre Políticas de Inversión y de Recursos Humanos realizada por laCEPAL, Oficina de Montevideo, durante el último trimestre de 1995, se introdujo unmódulo para comenzar a identificar los ACs en el sector manufacturero uruguayo. Losresultados obtenidos son representativos del fenómeno en tan sólo trece ramasindustriales. En dicha oportunidad se adoptó como definición de AC aquellos vínculosentre empresas en que se estableció una interrelación de decisiones en determinadosámbitos, sin alterar la condición de unidades independientes de las empresasintervinientes. Asimismo, se exigió cierta estabilidad en dicho relacionamiento, aunquesin ningún requisito de formalización, por lo que el criterio aplicado fue descartar losacuerdos ocasionales e incluir los de hecho. A partir de esa definición, los resultadossobre el fenómeno de los ACs, en la Encuesta mencionada fueron los siguientes: 4 de cada10 empresas afirmaron tener por lo menos un tipo de acuerdo con otra empresa, el 57% delos cuales se había realizado entre 1993 y 1995. Con respecto al tipo de cooperaciónestablecida el 63% consistía en un acuerdo de comercialización, mientras que poco menosdel 17% era de producción y tan sólo un 8% tenía un componente tecnológico. El 56%había sido realizado con empresas locales y el 43% con empresas del Mercosur.La realización de ACs verificó una asociación con el tamaño de las empresas.Mientras que 6 de cada 10 empresas de más de 500 empleados contestó afirmativamente a laexistencia de un AC vigente, 3 de cada 10 lo hicieron en el tramo entre 20 y 49 personasocupadas. Del mismo modo, el porcentaje de acuerdos cuya empresa asociada pertenecía alMercosur fue mayor para las empresas de más de 100 empleados. Con respecto a losobjetivos el acceso a mercados figuró como uno de los fundamentales seguido por laseguridad en el aprovisionamiento de insumos.De la consideración conjunta del origen de la empresa asociada, su sector de actividady el tipo de AC realizado resulta evidente que éstos se asocian, en el caso de lasempresas con mayores problemas competitivos, a una estrategia de tipo defensivo en la queel AC es de comercialización, se realiza a su vez con una empresa comercial.Contrariamente, en el caso de las empresas con comportamiento de liderazgo, si bien el ACde comercialización es el tipo más importante, aparecen en porcentajes no despreciablesAC de producción y también de I&D.
