In der Diskussion um die Vorteilhaftigkeit von kapitalmarkt- versus bankorientierten Finanzsystemen werden Kapitalmärkte und Banken als polare Organisationsformen aufgefasst, welche die jeweiligen Finanzsysteme fundamental prägen. Was aber unterscheidet diese beiden Institutionen grundsätzlich voneinander? Marcel Tyrell vertritt die These, dass das wesentliche Unterscheidungsmerkmal von Kapitalmärkten und Banken ihre Art der Informationsverarbeitung ist: Kapitalmärkte externalisieren Information, d.h., wertbestimmende Informationen über Kapitalmarkttitel werden durch den Preismechanismus öffentlich gemacht. Banken hingegen verarbeiten Informationen über ihre Kreditnehmer intern, d.h., sie werden zur Lösung bzw. zur Abschwächung von Informations- und Anreizproblemen genutzt und bewusst nicht nach außen gegeben. Der Autor belegt, dass die Informationsexternalisierung das grundlegende Funktionsprinzip der Kapitalmärkte und die interne Informationsverarbeitung das zentrale konstitutive Element der Banken darstellt
