Organisationsfragen entstehen aufgrund der Arbeitsteilung. Diese betrifft sowohl die Beziehung zwischen Unternehmen als auch innerhalb von Unternehmen. Die wohlstandsmehrende Nutzung der Arbeitsteilung erfordert Vereinbarungen. Diese sind so auszugestalten, daß alle beteiligten Subjekte motiviert sind, einen bestmöglichen Beitrag zum Gesamtergebnis zu leisten. Solche Vereinbarungen lassen sich auch als Verträge auffassen. Verträge können expliziter oder impliziter Natur sein, sie können vollständig oder unvollständig formuliert sein. Verträge beziehen sich nicht nur auf die Bewältigung konkreter arbeitsteiliger Beziehungen im Einzelfall, sondern sie sind ebenso notwendig, um den konstitutionellen Rahmen zu schaffen, innerhalb dessen sich laufende arbeitsteilige Leistungsprozesse grundsätzlich vollziehen. Dieser konstitutionelle Rahmen ist Gegenstand von Gesellschafts bzw. Verfassungsverträgen. Auch diese Rahmenverträge können wiederum expliziter (z. B. Gesellschaftsrecht und Grundgesetz) oder impliziter (z. B. Tradition und Kultur) Natur sein. Dabei stehen die konstitutionelle und die operative Ebene in einer Wechselwirkung: Wenn die institutionelle Ausgestaltung der konstitutionellen Ebene nicht angemessen ist (z. B. Definition von Eigentumsrechten, Zuordnung von Kompetenzen), kann dies erhebliche Auswirkungen auf die Effizienz der operativen Ebene haben. Andererseits verlangen Innovationen auf der Ebene des laufenden arbeitsteiligen Leistungsvollzuges (z. B. elektronischer Datenaustausch, Just-in-Time-Vereinbarungen, neue Formen der Gruppenarbeit und der Selbstorganisation) zum Teil auch neuartige Lösungen auf der konstitutionellen Ebene (z. B. Änderungen im Vertrags- und Tarifrecht)
