Der Autor untersucht vier Rechtsakte, die den Unionsgesetzgeber über Jahrzehnte beschäftigten: Die Europäische Aktiengesellschaft, die Europäische Genossenschaft, die grenzüberschreitende Verschmelzung von Kapitalgesellschaften und der Europäische Betriebsrat. Grund für die Dauer waren die national gewachsenen Mitwirkungskulturen, welche sich nicht in Ausgleich bringen ließen. Der Durchbruch gelang erst mit dem Verzicht auf einheitliche Regelungen und der Verständigung auf individuelle «Vereinbarungen mit Auffanglösung». So entstand ein neuer Kollektivvertragstypus, dessen Grundlagen als ungeklärt gelten. Der Autor untersucht diese Voraussetzungen innerhalb der jeweiligen Rechtsakte und legt den Fokus auf die Ermittlung allgemeiner Strukturprinzipien, welche für die vier Rechtsakte gleichermaßen gelten.
