Bernd Groß zeigt, dass die strafrechtliche Organeigenschaft nicht anhand der faktischen Betrachtungsweise festgestellt werden kann. Einige Strafnormen geben aber Raum zur Erfassung der Hintermänner. Es wird aufgezeigt, dass faktische Geschäftsführer unter das GmbHG zu subsumieren sind.
