Der strategische Einsatz von Finanzinstrumenten ermöglicht die Ausübung des Stimmrechts ohne das Beteiligungsinteresse sowie den verdeckten Aufbau einer Beteiligung, vorzugsweise an einem späteren Übernahmeziel. Derartige Vorgehensweisen sind mit erheblichen Gefahren für die Corporate Governance börsennotierter Gesellschaften und die Integrität des Kapitalmarkts verbunden und bedürfen daher der Regulierung.
