Als Haftpflichtversicherung für Organmitglieder von Kapitalgesellschaften ist die D&O-Versicherung für börsennotierte Unternehmen von erheblicher praktischer Bedeutung. In aktienrechtlicher Hinsicht erweist sich die von der Gesellschaft finanzierte Versicherung jedoch als problematisch. -- In seiner Arbeit, die zugleich einen Beitrag zur Diskussion über eine optimale Unternehmensverfassung ("Corporate Governance") leisten soll, geht Sebastian Pammler der Frage nach, ob die D&O-Versicherung überhaupt mit den Vorschriften des Aktienrechts in Einklang zu bringen ist. Nach seiner Ansicht ist die D&O-Versicherung nur dann zulässig, wenn ein angemessener Selbstbehalt vereinbart wird. In formaler Hinsicht hält der Verfasser eine Satzungsregelung/Bewilligung durch die Hauptversammlung für erforderlich. Schließlich befasst sich der Autor mit einzelnen in D&O-Versicherungsverträgen gebräuchlichen Klauseln. Im Gegensatz zu Trennungs- und Gerichtsklauseln sieht er so genannte Öffnungsklauseln als aktienrechtlich problematisch und mit AGB-Recht nicht zu vereinbaren an.
