Die Prüfung einer insolvenzrechtlichen Überschuldung stellt einen im betriebswirtschaftlichen und juristischen Schrifttum seit langer Zeit kontrovers diskutierten Sachverhalt dar. Obgleich der Ansatz, Überschuldung mittels Handelsbilanzen zu messen, bereits Anfang des 20. Jahrhunderts verworfen wurde, ist die Bandbreite von Auffassungen zur adäquaten Überschuldungskonstruktion noch immer sehr groß. Bei näherer Betrachtung zeigt sich, daß eine Auseinandersetzung mit konzeptionellen Fragestellungen bisher fehlt und die Bindungen zwischen der Überschuldungsmessung und den externen Rechnungslegungsnormen weitaus enger sind als regelmäßig behauptet wird.Jan Götz analysiert die geltende Ausgestaltung des insolvenzrechtlichen Überschuldungstatbestands. Dabei hebt er grundlegende Parallelen zu nationalen und internationalen Rechnungslegungsvorschriften hervor und entwickelt hierauf aufbauend einen Vorschlag für eine sachgerechte Überschuldungskonstruktion unter Einbezug der IAS/IFRS.
