Das Konzept der „Corporate Social Responsibility“ (CSR) beschreibt die Verantwortung von Unternehmen für eine nachhaltige Entwicklung der Gesellschaft. Angesichts zahlreicher Unternehmensskandale und Finanzkrisen rückt CSR zunehmend in den Fokus des Gesetzgebers. Die vorliegende Untersuchung zeichnet den Verrechtlichungsprozess nach und nimmt sich insbesondere der Frage an, wie Aspekte der CSR durch gesetzliche Maßnahmen als verbindliche Standards in die Corporate Governance einfließen und welche Folgewirkungen damit verknüpft sind. Bei der Umsetzung der CSR kommt dem Vorstand innerhalb des aktiengesellschaftlichen Kompetenzgefüges eine zentrale Rolle zu, die in einem „Top-down-Ansatz“ eine einheitliche Strategie gewährleistet. Als Stakeholdermodell bedarf CSR aber auch eines „Bottom-up-Ansatzes“, bei dem die Interessen der Bezugsgruppen über Aufsichtsrat, Hauptversammlung sowie die Berichterstattung in die Corporate Governance transferiert werden
