Die Untersuchung widmet sich in besonderem Maße der verbandsrechtlichen Stellung des Versammlungsleiters als eigenständiges Organ der Aktiengesellschaft, den in der Praxis häufig gestellten Abberufungsanträgen sowie der Haftung des Versammlungsleiters. Hierbei wird herausgearbeitet, dass die Haftungsrisiken aufgrund des Grundsatzes der beschränkten Versammlungsleiterhaftung limitiert sind.

The thesis offers, in particular, chairpersons of shareholders’ meetings and lawyers who specialize in advising German stock corporations on the preparation and conduct of annual general meetings an overview of all the main issues relating to the chairmanship of annual general meetings that is tailored to the needs of the practice. The analysis focuses in particular on the legal position of the chairperson of the annual general meeting as an independent organ of the stock corporation, on the motions for dismissal frequently filed in practice, and on the liability of the chairperson of the general meeting. In this context, it is pointed out that the liability risks are limited due to the so-called principle of limited liability of the chairperson of the general meeting.
